Introduction
The Company Law Review Act 1998 (Cth) and the Managed Investments Act 1998 (Cth) have made significant changes to the Corporations Law with effect from 1 July 1998. In particular, the provisions of the Corporations Law relating to company meetings which were previously contained in Part 3.3 and Table A have been brought together into Parts 2G.1–2G.3. The consolidated provisions have been rewritten in plain language, given a more logical structure, and brought up to date. A new Part 2G.4 has been inserted regulating the meetings of members of registered managed investment schemes (previously prescribed interests). In addition, there are new provisions governing the formation of companies. These changes have necessitated the publication of this Supplement.
The chapters of the fourth edition affected by the changes made by the Company Law Review Act and the Managed Investments Act are Chapters 20 to 23, which deal with company meetings in the context of the Corporations Law. This Supplement updates those chapters paragraph by paragraph, based on the same chapter and paragraph headings and numbering as the fourth edition. Only those paragraphs that require updating as a result of the new legislation have been included. Where new subject matter has been introduced, the text carries a new heading and a new paragraph number incorporating the letter A—for example, [22.6A].
In this Supplement:
- the section references are to the Corporations Law unless otherwise stated;
- ‘new’ in relation to a section number means the Corporations Law as amended by the Company Law Review Act and the Managed Investments Act from 1 July 1998;
- ‘old’ in relation to a section number means the Corporations Law as it was at the time the fourth edition was published; and
- the cross-references are to paragraphs in this Supplement, rather than those in the fourth edition.
